Hợp đồng nhượng quyền thương mại

1.1. Khái niệm

Các văn bản pháp lý có liên quan đến vấn đề nhượng quyền thương mại gồm có (1) Luật Thương mại năm 2005 được ban hành trong đó có các quy định về nhượng quyền thương mại; (2)Nghị định số 35/2006/NĐ-CP ngày 31 tháng 03 năm 2006 của Chính phủ quy định chi tiết hoạt động nhượng quyền thương mại; và (3)Thông tư số 09/2006/TT-BTM ngày 25 tháng 05 năm 2006 hướng dãn đăng ký hoạt động nhượng quyền thương mại. Nghị định và thông tư trên là hai văn bản hướng dẫn khá chi tiết và đầy đủ với việc xác định các vấn đề cơ bản như khái niệm nhượng quyền thương mại, quyền thương mại, điều kiện nhượng quyền thương mại, hợp đồng nhượng quyền thương mại, đăng ký hoạt động nhượng quyền thương mại và các vấn đề tài chính liên quan đến nhượng quyền thương mại.
